2. Description of Service

ExhibitPrep is a browser-based tool that allows users to:

• Add exhibit stamps to PDF documents
• Customize stamp appearance, position, and formatting
• Apply sequential labels to multiple documents
• Combine and flatten PDF files
• Convert images to PDF format

3. User Responsibilities

3.1 Court Compliance

• Format and layout requirements
• Exhibit labeling conventions (letters vs. numbers, plaintiff vs. defendant designation, etc.)
• Page numbering and bates stamping rules
• Color, size, and positioning of stamps
• File format and PDF compliance standards
• Maximum file sizes and page limits
• Authentication and certification requirements
• Electronic filing system compatibility

Court rules vary significantly by jurisdiction, court type, and even individual judge. You must research and understand the specific requirements that apply to your case before using ExhibitPrep.

3.2 Due Diligence

You agree to:

• Review all output documents carefully before filing or submission
• Verify that stamps are correctly positioned and legible
• Confirm that all pages are properly labeled
• Check that combined documents are in the correct order
• Ensure that confidential or privileged information is properly redacted (if required)
• Maintain backup copies of original documents
• Test documents with your court's electronic filing system before deadlines

3.3 Prohibited Uses

You may not use ExhibitPrep to:

• Create fraudulent, misleading, or falsified documents
• Violate any applicable laws or court rules
• Infringe on intellectual property rights of others
• Harass, threaten, or harm others
• Attempt to reverse engineer, modify, or compromise the service
• Use automated systems to access the service in bulk
• Process documents containing illegal content

4. No Legal Advice

If you need legal advice, you should consult with a licensed attorney in your jurisdiction. This is particularly important for:

• Understanding court rules and filing requirements
• Determining appropriate exhibit labeling conventions
• Evaluating document authenticity and admissibility
• Complying with discovery obligations
• Protecting attorney-client privilege and work product
• Meeting professional responsibility requirements

5. Payment Terms

ExhibitPrep offers two payment options:

• Single Document: $4.99 per document
• Day Pass: $14.99 for unlimited documents for 24 hours

Payment terms:

• Payment is required before downloading stamped documents
• All prices are in USD
• Payments are processed securely through our third-party payment processor
• Day passes expire exactly 24 hours after purchase
• No refunds are provided after documents are downloaded (see Refund Policy below)

6. Refund Policy

Due to the immediate nature of the service:

• No refunds are provided once you have downloaded your stamped document(s)
• Refunds may be considered if a technical error prevented you from downloading your document
• Contact us within 48 hours of payment for refund requests related to technical issues
• We are not responsible for documents that don't meet court requirements—you must verify compliance before purchase

7. Disclaimer of Warranties

ExhibitPrep is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of results
• Warranties that documents created will meet any particular court's requirements
• Warranties regarding compatibility with specific court filing systems

We do not warrant that ExhibitPrep will meet your specific needs or that output documents will be accepted by any particular court or filing system.

8. Limitation of Liability

This includes but is not limited to damages arising from:

• Documents that are rejected by courts or filing systems
• Missed filing deadlines
• Incorrect exhibit labeling or formatting
• Loss or corruption of documents
• Technical errors or service interruptions
• Incompatibility with specific systems or software
• Adverse outcomes in legal proceedings
• Professional sanctions or penalties

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PRECEDING 30 DAYS.

9. Indemnification

You agree to indemnify, defend, and hold harmless ExhibitPrep and its operators, affiliates, and service providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms of Service
• Documents you create or file using ExhibitPrep
• Your violation of any applicable laws, court rules, or third-party rights
• Any claim that your use of the service caused harm to a third party

10. Technical Limitations

You acknowledge that:

• ExhibitPrep requires a modern web browser with JavaScript enabled
• Processing large or complex PDFs may be slow or memory-intensive
• Some PDF features (encryption, digital signatures) may not be preserved
• Output quality depends on your input documents and browser capabilities
• We may limit file sizes, page counts, or usage rates to ensure service availability

11. Privacy and Data Processing

12. Intellectual Property

ExhibitPrep and all associated software, designs, and content are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the service for your personal or professional document preparation needs.

You retain all rights to documents you create using ExhibitPrep. We claim no ownership or rights in your documents or the content within them.

13. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the service at any time
• Update these Terms of Service with or without notice
• Change pricing or payment terms
• Limit access to certain features or users

Your continued use after changes constitutes acceptance of modified terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of ExhibitPrep shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
